Genwin LLC – Terms of Service
IMPORTANT – THIS IS A LEGAL AGREEMENT BETWEEN YOU (“You” or the “Authorized User”) AND GENWIN LLC (“Genwin”, “we”, or “us”).
By accessing or using any Genwin websites, applications, software, or services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not access or use the Services.
1. Scope of Services
Genwin LLC is a U.S.-based technology company providing:
- Enterprise software development and technology services
- Infrastructure solutions for fintech, payments, and digital systems
Genwin provides its Services only to businesses and authorized users acting on behalf of such businesses. Genwin does not provide consumer services.
2. No Custody / No Third-Party Funds
Genwin:
- Does not custody, hold, or manage client funds
- Does not operate client wallets or accounts
- Does not process payments on behalf of third parties
3. License Grant
Subject to these Terms, Genwin grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes.
4. Restrictions
You may not:
- Copy, distribute, or reverse engineer any part of the Services
- Use the Services for unlawful or unauthorized purposes
- Attempt to gain unauthorized access to systems or data
- Interfere with the operation or security of the Services
5. User Obligations
You represent and warrant that:
- You are authorized to act on behalf of your business
- All information provided is accurate and complete
- You will comply with all applicable laws and regulations
You are responsible for maintaining the confidentiality of your access credentials.
6. Compliance and Use
You agree to:
- Comply with all applicable AML, sanctions, and regulatory requirements
- Use the Services only for lawful business purposes
- Not engage in any activity that may expose Genwin to regulatory or financial risk
Genwin reserves the right to suspend or terminate access if compliance concerns arise.
7. Intellectual Property
All rights, title, and interest in the Services, including software, systems, and materials, remain the exclusive property of Genwin or its licensors.
No ownership rights are transferred to you.
8. Confidentiality
You agree to maintain the confidentiality of any non-public information received from Genwin and to use such information solely for permitted purposes.
9. Third-Party Services
Genwin may integrate or interact with third-party providers (e.g., banks, infrastructure providers). Genwin is not responsible for the performance, availability, or actions of such third parties.
10. Disclaimer of Warranties
The Services are provided “as is” and “as available.”
Genwin disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law:
Genwin shall not be liable for any indirect, incidental, special, or consequential damages.
Total liability shall not exceed the amount paid by you to Genwin in the three (3) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Genwin and its affiliates from any claims, damages, or losses arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of applicable laws or third-party rights
13. Term and Termination
These Terms remain in effect until terminated.
Genwin may suspend or terminate access at any time for:
- Breach of these Terms
- Compliance or regulatory concerns
- Risk management reasons
14. Governing Law
These Terms are governed by the laws of the State of Delaware, United States.
Any disputes shall be resolved in the courts located in Delaware.
15. Miscellaneous
If any provision is invalid, the remaining provisions remain in effect
These Terms constitute the entire agreement between the parties
Failure to enforce any provision is not a waiver
